1. Description of Service

ReplyWhy provides diagnostic analysis and follow-up generation for business emails. ReplyWhy is an analytical intelligence tool and is NOT an email sending service, cold email sequence automation platform, CRM, or contact database.

2. Account Registration & Workspaces

To use ReplyWhy, you must register for an account with valid information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur within your workspace.

3. Credits & Subscription Billing

• Free Tier: Every new workspace receives an initial allocation of 30 analysis credits.
• Paid Subscriptions: Premium, Business, and Enterprise tiers are billed on a recurring monthly or annual basis. Monthly credits refresh on each billing cycle reset date.
• Usage Deduction: Credits are deducted per single email analyzed and per email item in batch uploads. In the event of a server-side diagnostic failure, debited credits are automatically refunded.
• Cancellations: You may cancel your subscription at any time. Your plan features and remaining credits will remain active until the end of the current billing cycle.

4. Acceptable Use Policy

You agree not to use ReplyWhy to:

• Analyze unlawful, fraudulent, harassing, defamatory, or malicious content.
• Violate applicable anti-spam laws (including CAN-SPAM, GDPR, and CASL).
• Attempt to reverse-engineer, exploit, or bypass workspace credit balances or API limits.
• Upload malicious code or files intended to disrupt service integrity.

5. Intellectual Property & Outputs

You retain all ownership rights in the email text you submit. Diagnostic reports and follow-up copy generated for your submissions are licensed to you for your business use.

6. Limitation of Liability

ReplyWhy provides diagnostic recommendations based on machine learning heuristics and generative AI. We do not guarantee specific email reply rates, deals closed, or recipient responses resulting from recommendations.
